Specific service details, timelines, and deliverables may be outlined in an estimate, proposal, service agreement, or email confirmation.
2. Service Availability
- Free consultations and promotional support hours (such as the Monday 8-hour offer) are subject to availability and may require scheduling in advance.
- KIT is not obligated to provide emergency or after-hours services unless specifically agreed upon.
- Response times may vary based on workload, service level, and priority of the issue.
3. Client Responsibilities
To ensure efficient and accurate service, clients agree to:
- Provide accurate and complete information related to their systems, infrastructure, and support needs.
- Maintain valid licenses for all software, security tools, and devices under KIT’s management.
- Ensure KIT staff have appropriate access to facilities, systems, networks, and equipment required to perform services.
- Refrain from using KIT services for unlawful activities or security breaches.
Failure to meet these responsibilities may limit the services KIT can provide.
4. Fees & Billing
- Standard hourly rates apply unless otherwise stated in a signed agreement or promotion.
- Rates may vary by service type (e.g., daily operations support, project management, consulting).
- Invoices are due upon receipt unless otherwise outlined in the service agreement.
- Late payments may incur interest or payment holds on future work.
- Any hardware, software, licensing, or third-party service costs are billed separately.
5. Cancellation & Scheduling
- Appointments must be canceled or rescheduled with at least 24 hours’ notice.
- KIT reserves the right to charge for missed appointments or repeated last-minute cancellations.
6. Confidentiality
KIT maintains strict confidentiality regarding all client data, network information, configurations, and communications.
We will not disclose client information except:
- With client authorization
- As required by law
- To trusted third-party vendors directly involved in service delivery
Confidentiality continues even after service termination.
7. Liability Disclaimer
KIT provides services using industry-standard best practices; however:
- We cannot guarantee uninterrupted, error-free, or fully secure operation of any technology, network, or system.
- The client is responsible for maintaining proper data backups unless KIT is contracted to manage backup services.
- KIT is not liable for loss of data, system failure, security breaches, delays, or damages resulting from:
- Misuse or neglect by the client
- Pre-existing issues
- Unforeseen hardware failures
- Vendor outages or third-party service failures
- Events beyond our control (power outages, natural disasters, cyberattacks, etc.)
To the fullest extent permitted by law, KIT’s liability is limited to the amount paid by the client for the specific service in question.
8. Third-Party Products & Services
KIT may recommend or work with third-party vendors, tools, and services (e.g., Microsoft, Google, antivirus providers, hardware suppliers).
We do not guarantee the performance, availability, or reliability of these third-party offerings.
The client is responsible for reviewing and complying with third-party terms.
9. Termination of Services
Either party may terminate services at any time with written notice.
Upon termination:
- The client must pay for all hours worked and outstanding invoices.
- KIT will return any client-owned data or credentials in our possession.
- Ongoing support will end immediately unless mutually agreed otherwise.
10. Intellectual Property
All scripts, configurations, tools, documentation, or materials created by KIT remain KIT’s intellectual property unless otherwise stated in writing.
Clients may use these items only for their internal operations unless prohibited by licensing terms.
11. Governing Law
These Terms of Service are governed by the laws of the State of Florida, without regard to conflicts of law principles.
Any disputes shall be resolved in a court of competent jurisdiction within Orange County, Florida.
12. Changes to These Terms
KIT may update these Terms of Service at any time. Updated terms will be posted on our website with a revised “Last Updated” date. Continued use of our services constitutes acceptance of the updated terms.
